The non-compete that couldn't
- The problem
- A growing startup learned — from its departing sales head — that the two-year non-compete in every employment contract it had signed would not hold.
- What we did
- Section 27 of the Indian Contract Act voids restraints on trade once employment ends. We rebuilt the contract stack around what Indian courts are far more willing to enforce: confidentiality, IP assignment, restraints that run during employment and notice, and narrowly drawn non-solicitation.
- Outcome
- Contracts that protect the company's clients and code — and are built to survive being tested.
